1. The stock options are fully vested.
2. The stock appreciation rights are fully vested.
3. The stock appreciation rights vest in four equal installments beginning on May 6, 2009. 2,349 of the stock appreciation rights have vested and 782 of the stock appreciation rights will vest on May 6, 2012.
4. The stock appreciation rights vest in four equal installments beginning on June 1, 2010. 25,000 of the stock appreciation rights have vested, 12,500 of the stock appreciation rights will vest on June 1, 2012 and 12,500 of the stock appreciation rights will vest on June 1, 2013.
5.
